1. Agreement to Terms

By accessing or using the website nuucognition.com and its associated services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Services.

You must be at least 13 years of age (or 16 years of age if you are located in the European Union) to use our Services. By agreeing to these Terms, you represent and warrant that you meet this age requirement.

2. Description of Services

NUU Cognition provides AI-augmented software designed to enhance human cognition. Our ecosystem includes tools such as NUU Surf (learning tool), NUU Transform (media conversion), and NUU Echo (audio intelligence).

We are constantly innovating. We reserve the right to modify, suspend, or discontinue any part of the Services (including specific features or tools) at any time, with or without notice.

3. User Accounts

To access certain features of the Services, you must register for an account. We utilize Clerk to handle secure authentication. Regarding your account, you agree to:

  • Provide accurate, current, and complete information during the registration process.
  • Maintain the security of your password and accept all risks of unauthorized access to your account.
  • Notify us immediately if you discover or suspect any security breaches related to the Services.

You are responsible for all activities that occur under your account. Each account is intended for use by a single individual; account sharing is prohibited.

4. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services in any way that violates applicable national or international laws or regulations.
  • Attempt to gain unauthorized access to any portion of the Services, other user accounts, or computer systems/networks connected to the Services.
  • Use any robot, spider, or other automated means to access the Services for any purpose without our express written permission.
  • Impersonate any person or entity or misrepresent your affiliation with a person or entity.
  • Interfere with or disrupt the operation of the Services or the servers/networks hosting the Services.

5. Intellectual Property

Our IP: The Services, including their design, code, graphics, and branding (excluding User Content), are owned by NUU Cognition and are protected by copyright, trademark, and other intellectual property laws.

Your IP: You retain ownership of any text, files, or other materials you upload or generate using the Services (“User Content”).

License to Us: By using the Services, you grant NUU Cognition a worldwide, non-exclusive, royalty-free license to use, reproduce, and display your User Content solely as necessary to provide, maintain, and improve the Services.

Feedback: If you choose to provide input and suggestions regarding problems with or proposed modifications to the Services (“Feedback”), we are free to use such Feedback without any additional compensation to you.

6. User Content

You are solely responsible for your User Content and the consequences of posting or publishing it. You agree not to create or submit content that:

  • Is unlawful, threatening, abusive, harassing, defamatory, or hateful.
  • Infringes on the intellectual property or privacy rights of any third party.
  • Contains viruses, malware, or any other harmful code.

We reserve the right (but have no obligation) to remove or refuse to distribute any User Content that we deem to be in violation of these Terms.

7. Third-Party Services

Our Services may contain links to or integrations with third-party websites or services (such as authentication providers or external AI models) that are not owned or controlled by NUU Cognition. We assume no responsibility for the content, privacy policies, or practices of any third-party services. You acknowledge that your use of third-party services is at your own risk.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE FULLEST EXTENT PERMITTED BY LAW, NUU COGNITION DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AI Disclaimer: Our Services utilize Artificial Intelligence. AI models can occasionally produce incorrect, misleading, or offensive outputs (“hallucinations”). NUU Cognition does not guarantee the accuracy, reliability, or completeness of any content generated by the AI. The Services are not a substitute for professional advice (legal, medical, financial, etc.).

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUU COGNITION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES;
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; OR
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE PAST SIX MONTHS.

10. Indemnification

You agree to defend, indemnify, and hold harmless NUU Cognition and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

11. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Services will cease immediately. Provisions of these Terms which by their nature should survive termination (such as IP, Disclaimers, and Liability) shall survive.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of that jurisdiction.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
